AUCTION RULES OF THE iWOOD PLATFORM

General Auction Rules for Electronic Timber (Roundwood) Auctions

iWOOD Platform – generally binding document

Note: This document constitutes the general auction rules of the iWOOD platform. Specific conditions of individual auctions and special auction rules of the Auction Organiser take precedence over this document to the extent they do not conflict with these rules. The iWOOD platform exclusively provides the technical and software environment for conducting electronic auctions; contractual relationships arise directly between the Auction Organiser and the auction winner.

Article I

Introductory Provisions

  1. These Auction Rules (hereinafter referred to as the "Rules") govern the general rules for the preparation, announcement, conduct, evaluation, and conclusion of electronic timber auctions carried out through the iWOOD electronic auction platform.
  2. The Rules are binding on all Auction Organisers and Auction Participants who use the iWOOD platform.
  3. By participating in an auction, both the Auction Organiser and the Auction Participant confirm that they have read and understood these Rules and undertake to comply with them.

Article II

Definitions and Roles

For the purposes of these Rules, the following terms shall have the meanings set out below:

  1. iWOOD Platform – an electronic auction platform operated by the National Forest Centre – CE LignoSilva.
  2. Auction Organiser – a registered user of the iWOOD platform who creates and announces an auction, determines its conditions, and bears full responsibility for the accuracy, completeness, and truthfulness of the data regarding the subject of the auction.
  3. Auction Participant (Buyer) – a natural or legal person authorised to participate in an auction and submit bids through the iWOOD platform.
  4. Subject of the Auction – timber raw material, primarily roundwood, or a set of auction items specified in the conditions of a particular auction.
  5. Digital Timber Profile – a set of data and informational materials about the subject of the auction (in particular dimensions, volume, grading, photographs, video, and optionally 3D or CT data).
  6. Auction Time – the official system time of the iWOOD platform, which is decisive for the start, conduct, conclusion, and any extension of the auction.

Article III

Registration and Conditions of Participation

  1. Participation in an auction is conditional upon proper registration on the iWOOD platform and fulfilment of the registration and qualification conditions set by the Auction Organiser and/or the iWOOD platform.
  2. The Auction Organiser may set additional qualification conditions for participation, in particular professional, technical, or financial requirements, including the deposit of a security.
  3. The Auction Participant is responsible for the truthfulness and accuracy of the registration data and for the protection of their access credentials.

Article IV

Subject of the Auction and Informational Materials

  1. The subject of the auction is always precisely specified in the conditions of the particular auction published on the iWOOD platform.
  2. Digital profiles, photographs, videos, 3D or CT data, and other materials are of an informative nature unless the Auction Organiser determines otherwise.
  3. The final assessment of the quality and quantity of the subject of the auction is carried out upon the physical handover of the goods according to the agreed conditions.

Article V

Announcement of the Auction

  1. An auction is announced by its publication on the iWOOD platform and by making it accessible to authorised Auction Participants.
  2. The Auction Organiser determines, in particular, the identification of the auction, the auction mechanism, the starting price, the minimum bid increment, the currency, the start and end of the auction, and any rules for automatic extension of the auction.

Article VI

Submission of Bids and Conduct of the Auction

  1. Bids are submitted exclusively electronically through the iWOOD platform.
  2. A bid is valid from the moment it is confirmed by the iWOOD platform system.
  3. In the event of equal bids, the earlier time of bid submission according to the Auction Time shall prevail.
  4. Any actions disrupting the transparent, fair, and non-discriminatory conduct of the auction are prohibited.

Article VII

Conclusion and Evaluation of the Auction

  1. The auction ends upon the expiry of the set duration or according to the rules for auction extension.
  2. The winner of the auction is the Auction Participant who met the selection criteria set by the Auction Organiser.
  3. After the auction ends, the iWOOD system generates an auction results protocol.

Article VIII

Contractual, Payment, and Collection Conditions

  1. After the auction ends, the Auction Organiser and the auction winner enter into a purchase agreement or order according to the conditions specified in the auction.
  2. Payment, collection, and logistics conditions are defined in the conditions of the particular auction.

Article IX

Complaints, Grievances, and Dispute Resolution

  1. Complaints regarding the quality or quantity of the subject of the auction are made in accordance with the concluded contract or the auction conditions.
  2. Grievances regarding the conduct of the auction may be submitted to the Auction Organiser within the time limit and in the manner specified in the auction conditions.

Article X

Data Protection, Archiving, and Confidentiality

  1. Data on auctions, bids, and auction results may be processed and archived to the extent necessary for the operation of the platform, analytical purposes, auditing, and fulfilment of legal obligations.
  2. The processing of personal data is carried out in accordance with the personal data protection principles published on the iWOOD platform.
  3. Auction Participants are obliged to maintain the confidentiality of non-public information.

Article XI

Limitation of Liability of the iWOOD Platform

  1. The iWOOD platform exclusively provides the technical and software environment for conducting electronic auctions.
  2. The operator of the iWOOD platform is not a contractual party to the legal relationships arising between the Auction Organiser and the Auction Participants and bears no responsibility for their fulfilment.
  3. The iWOOD platform bears no liability in particular for:
    1. the truthfulness, completeness, and accuracy of data regarding the subject of the auction, the quality, quantity, and condition of the subject of the auction,
    2. the course of physical handover of goods,
    3. the fulfilment of payment and contractual obligations between the Seller and the Buyer,
    4. damages arising as a result of the actions or omissions of Auction Participants.
  4. The operator of the iWOOD platform is not liable for damages caused by technical outages on the side of Auction Participants or internet connection failures beyond its control.

Article XII

Final Provisions

  1. These Auction Rules are governed by the laws of the Slovak Republic.
  2. The Rules become valid and effective upon their publication on the iWOOD platform.
